Siemens, Westinghouse, General Dynamics, and the navies of the United States and West Germany among its customers. It operates a joint venture company, Castlet (Australia) Pty Ltd, with the British firm Castlet (U.K.) Ltd. It manufactures pollution controlling equipment.

The company would have been listed in the second board market, but for financial commitments the company had to reach. Instead it will be listed using the shell of Lightburn Finance, the suspended bankrupt finance company. The company, formed in 1980, will declare a 12 per cent dividend, or 6c a share, in its first year of operations as it aims for a turnover of $70 million by 1990. Mr Ronald Wheeldon, one of the company's two managing directors, said yesterday: "The formula for growth in this company is already there. We have profits, earnings and dividends while most other high-tech companies are all hot air." The company's chairman is Mr Eugene Falk, chairman of the Small Business Development Corporation and the Coal Corporation of Victoria. father-in-law of Jill. Rest peacefully darling business-risk measurement is launched By ROBERT GARRAN The credit-reporting group College Mercantile yesterday launched a new method of measuring the risks of private companies, for use by accountants, credit analysts and lenders. The method, called the Lincoln credit score, is based on seven accounting ratios that measure the relationships between various items of financial information in a company's balance sheet Such ratios have been around a long time, probably the best-known being the gearing ratio, or that of liabilities to assets. But according to Dr Merv Lincoln, who developed the system, his score is the only one based on the statistical comparison of a large number of the innumerable accounting ratios available. Using this method, Dr Lincoln found the seven most useful ratios.

Each was given a weighting according to its usefulness in indicating the riskiness of a business. The seven are combined to give a credit score, called the L-score. The score is based on a doctoral thesis by Dr Lincoln, which looked at why public companies failed and what measures could be taken to avert failure. The formulae have been adapted to apply to private companies. As well as giving early warning to creditors and lenders that a company is in trouble, the method can be used by management to compare the effects of different budgets.

The seven ratios making up the L-score are cash flow before tax to current liabilities; current assets to total assets; quick assets to current assets; current liabilities to total liabilities; quick liabilities to current liabilities; retained profits to total assets; and total liabilities to total assets. ORAYTON GARSON Pty Ltd incorp. Sleights of Melbourne 2S4416 A.F.D.A. FREDRICKS, Les. On May 27th. BIRTHDAY GREETINGS definition of share premium account.

Under the scheme, sponsored by Mr Lee Ming Tee and recommended to shareholders by Capel Court Corporation, about $20 million of added value would be unlocked for shareholders in the group of inter-related companies, which would transfer shareholders in a string of related companies into a new holding company, Hastings Deering Corporation. Proxies for the original 3 June meeting had apparently been running heavily in favor of the scheme. Yesterday's statement said advice from both senior and junior counsel had been obtained and their preliminary view was contrary to that of the Tax Office, although the matter was still under consideration. "In the circ*mstances, it would be quite imprudent and inappropriate for the directors to ask shareholders to vote on the schemes while the doubt raised by the Taxation Office remains unresolved," the directors said. By STEPHEN BARTHOIOMEUSZ A meeting to approve Hasting Deering's complex $56 million scheme of arrangement has been postponed for two months' while the company and its advisers try to sort out two conflicting sets of advice from the Tax Office.

Directors said yesterday that they had received a "favorable" ruling on the scheme from the Tax Office in Sydney, but the Canberra office had written Hastings a letter which raised a "significant potential difficulty." They said the letter suggested shareholders in the existing Hastings companies who received shares in the re-constructed company would be liable for income tax on the excess paid up value of the shares they received over the paid up value of the shares they now held in the present companies. The letter also said the share premium account created in the new holding company's books as a result of the schemes would not satisfy the Income Tax Assessment Act's WALLER.
